Terms of Use for Direct Price Entry

These terms of use are for online services (smartphone apps for Android and iPhone and services for personal computers, including future updated versions, denoted as "Service" below) operated by Rim Intelligence Co. (denoted as "RIM" below). Only when you have read and agreed to the following terms of use (denoted as "Terms" below) could you use this Service.

Article 1 (User)

1.Only corporate professionals in energy market trading, who are approved by RIM, can register for this Service.
2.The user of this Service (denoted as "User" below) shall agree to the Terms and register as a member before and at the start of using of the Service.
3.Users can only be corporations and cannot be individuals.

Article 2 (Service Contents)

1.The online service operated by RIM is as follows:
1. 1）Receiving energy price information (bids, offers, deals done) from the User.
2. 2）Displaying the information received from the User on the Trading Board of RIM's homepage.
2.RIM may add new services, or change or remove services without prior notice.

Article 3 (Scope of Use)

1.Only the User himself/herself can use this Service.
2.Downloads, installations and OS for the use of this Service shall be subject to RIM's specification. Furthermore, the User shall bear any costs with respect to terminal device and transmission.

Article 4 (Personal Information)

Personal information obtained by RIM from the User in the course of this service shall be subject to these Terms and also to RIM's privacy policy.

Article 5 (Copyrights and Intellectual Property Rights)

Intellectual property rights concerning this Service including copyrights and all other rights shall belong to RIM. Any use of this Service under these Terms shall not be construed as the transfer of intellectual property rights or any other rights concerning this Service.

Article 6 (Provision of Information)

1.Energy price information provided by the User through this Service shall be owned and managed by RIM. Upon providing RIM such information, the User may not exercise any rights including copyrights.
2.RIM has no obligation to keep the information, set forth in the preceding paragraph, confidential and may use such information without the consent of the User. RIM may utilize the energy price information for its own commercial purposes without any restrictions. Furthermore, RIM may remove such information from its server without any prior notice.
3.RIM does not guarantee the accuracy or validity of energy price information provided by the User.

Article 7 (Prohibitions)

1.RIM shall prohibit the User from the following when using this Service:
1. 1）Using this Service beyond the User's own use
2. 2）Providing false information, obstructing the operating of this service or defaming RIM
3. 3）Unauthorized access of this Service
4. 4）Unauthorized use of ID/Password or causing a third party to use it
5. 5）Violating or being likely to violate public order and morals
6. 6）Violating or being likely to violate the law
7. 7）Causing or being likely to cause damage to RIM or to third parties
8. 8）Reprinting, copying, changing, recompiling and reverse engineering of this Service, and any acts of similar kind
9. 9）Distributing, transferring, lending and licensing this Service, and other uses of this Service
2.RIM may seek damages and compensation from the User for any violation of the above.

Article 8 (Rejection of Antisocial Forces)

1.The User shall pledge the following when starting to use this Service:
1. 1）The User is not a member of any antisocial organizations such as gangster organizations or crime syndicates.
2. 2）If the User is a member of a company, public interest incorporated association, public interest incorporated foundation, general incorporated association, general incorporated foundation or any other type of corporations or organizations that are not a corporation (denoted as "Organization" below), such Organization is not an antisocial organization such as a gangster organization or crime syndicate.
3. 3）The User or the Organization to which the User belongs has no capital ties or transaction with antisocial organizations such as gangster organizations or crime syndicates.
2.If the User or the Organization to which the User belongs, or executive members of the Organization to which the User belongs, is found to be an antisocial organization such as a gangster organization or crime syndicate, to be a member of such an antisocial organization, to have capital ties or transaction with such an antisocial organization, or to have committed antisocial acts, the use of this Service may be immediately terminated.

Article 9 (Cancellation of Membership Registration)

If the User is found to have committed any acts in violation of these Terms, RIM may immediately terminate this Service to the User or cancel the User's membership registration.

Article 10 (ID/Password management)

1.The User shall strictly keep his/her ID and Password for this Service.
2.The User shall not transfer or lend his/her ID and Password for this Service to a third party.

Article 11 (Disclaimer)

1Although this Service shall be managed and operated by RIM, RIM does not guarantee its accuracy or reliability. The User shall agree to use this Service at his/her own responsibility.
2.RIM shall not be liable for any damages incurred by the User in the course of using this Service.

Article 12 (Governing Law and Jurisdiction)

1.The governing law for these Terms shall be Japanese law.
2.Disputes concerning these Terms shall be under the exclusive jurisdiction of the courts of first instance with the Tokyo District Court and Tokyo Summary Court.

Article 13 (Suspension of Service)

This Service may be suspended without prior notice due to system problem, maintenance or other unavoidable reasons.

Article 14 (Changes to Registered Items)

The User shall immediately inform RIM of changes to items within his/her registration.

Article 15 (Amendment to these Terms)

RIM may amend these Terms where necessary. The User may continue to use this Service only after agreeing to the amendment to these Terms.
